Terms of Service

Please read these Terms of Service ("Terms") carefully before installing or using any application published by George Grachev ("Developer", "we", "us") on the Atlassian Marketplace. By installing or using the app, you agree to be bound by these Terms.

1. Parties

These Terms constitute a legal agreement between you (the "User" or "Customer") and George Grachev, an independent software developer operating at grachev.app, based in Slovakia, European Union.

These Terms apply to all apps developed and published by George Grachev on the Atlassian Marketplace, unless a separate agreement is provided for a specific app.

2. License Grant

Subject to your compliance with these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to:

Install and use the app within your Atlassian Jira Cloud instance
Allow your authorised users to access and use the app's features

This licence does not permit you to sublicence, sell, resell, transfer, or otherwise make the app available to any third party.

3. Atlassian Marketplace Terms

Your use of the app is also governed by the Atlassian Marketplace Terms of Use. In the event of a conflict between these Terms and the Atlassian Marketplace Terms, the Atlassian Marketplace Terms shall prevail.

4. Acceptable Use

You agree not to:

Reverse engineer, decompile, or disassemble the app
Use the app for any unlawful purpose or in violation of any applicable laws
Attempt to gain unauthorised access to the app or related systems
Use the app to transmit harmful, offensive, or infringing content
Interfere with or disrupt the integrity or performance of the app

5. Subscription and Payment

If the app is offered as a paid service, billing is managed exclusively through the Atlassian Marketplace. Pricing, billing cycles, and refund policies are governed by Atlassian's billing terms. We do not process payments directly.

Free trial periods, if offered, are subject to the terms stated in the Marketplace listing.

6. Updates and Changes

We may update the app from time to time to add features, fix bugs, or improve performance. Updates are delivered automatically through the Atlassian platform. We reserve the right to modify or discontinue the app at any time with reasonable notice provided through the Marketplace listing.

7. Data and Privacy

Our collection and use of personal data is described in our Privacy Policy. For customers subject to GDPR, our Data Processing Addendum forms part of these Terms.

8. Disclaimer of Warranties

The app is provided "as is" and "as available", without warranties of any kind, whether express or implied. We do not warrant that the app will be uninterrupted, error-free, or fit for any particular purpose.

To the maximum extent permitted by applicable law, we disclaim all implied warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall George Grachev be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the app.

Our total aggregate liability to you for any claim arising out of or relating to these Terms or the app shall not exceed the amount you paid for the app in the twelve (12) months preceding the claim.

10. Intellectual Property

The app and all related intellectual property rights are and remain the exclusive property of George Grachev. Nothing in these Terms transfers any ownership rights to you.

11. Termination

These Terms are effective until terminated. Your rights under these Terms will terminate automatically if you fail to comply with any provision. Upon termination, you must cease all use of the app and uninstall it from your Jira instance.

We may terminate or suspend your access to the app at any time for breach of these Terms, with notice where reasonably practicable.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the Slovak Republic, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of Slovakia.

13. Changes to These Terms

We may update these Terms from time to time. Continued use of the app after changes are posted constitutes acceptance of the updated Terms. We will provide notice of material changes through the Marketplace listing.
